The Transaction Management Division guides transactions from the initial consultation to the signing of the bid letter to the final closing documents and beyond. The Transaction Management Division is instrumental in each and every aspect of each transaction, giving the client hands on support throughout the entire transaction.

Phoenix Capital's Transaction Management Division services for a bulk transaction include, but are not limited to:

  • Stratification of a seller's portfolio which identifies key product information relied upon by the buying community. This is used for preparation of the offering. Misrepresentations of the data in the offering can negatively impact pricing and sale terms. For this reason, the Transaction Management Division is very diligent in working with the client through this process.
  • Determination of pre-marketing pricing levels of the sale portfolio is shared with the client. In this step of the sales process, proper expectations of bid levels are set with the client given the current market environment.
  • Pre-marketing and marketing of the sale portfolio on behalf of the client. In this step, a strategic marketing list is assembled and all appropriate buyers are contacted and delivered an offering and trial balance.
  • Thorough analysis of each bid. Beyond the actual bid price, specific deal terms are important to determine the overall best bid. Once the bids are analyzed, we negotiate pricing levels, deal terms and finalize a bid letter for execution.
  • Establish and monitor key performance dates with both the seller and buyer in order to meet specific deadlines and ensure a smooth transfer.
  • Due diligence preparation and assistance in resolving any audit findings.
  • Negotiation of the purchase and sale agreement and transfer instructions are then completed with the legal counsel of both the seller and buyer.
  • Preparation of all settlement statements for sale and transfer date payments.
  • Post-transfer support as requested by client.
